The Competition and Markets Authority (CMA) is seeking views on the anticipated £3.1 billion acquisition by OCS Group of facilities management giant Mitie Group.
In July, the boards of OCS Group International and Mitie announced they had reached agreement on the terms of a recommended cash acquisition.
Each Mitie shareholder, under the terms of the acquisition, would be entitled to receive up to 221.6 pence in cash per share.
The proposed deal values the entire share capital of Mitie at approximately £3.1bn.
It would bring together a pair of major facilities management providers to create an enlarged group with combined revenues of approximately £8.5bn for the calendar year ended December 31, 2025.
The CMA is now issuing an ‘invitation to comment’ to allow interested parties to submit to it any initial views on the impact that the transaction could have on competition in the UK.
The watchdog has not yet launched its formal investigation into the transaction, with the invitation to comment the first part of the CMA’s information-gathering process.
To assist it with this assessment, the CMA is inviting comments on competition issues from any interested party; these comments should be provided by Tuesday, September 29.
